Terms of Sale

1. Nature of Products — Research Materials Only

All products offered by ResearchPure are analytical-grade biochemical reference standards and laboratory research materials sold exclusively for in vitro research use by qualified research customers. Products are not pharmaceutical preparations, dietary supplements, or consumer products of any kind.

2. Buyer Representations and Warranties

By placing an order, the buyer expressly represents and warrants that:

• The buyer is a qualified researcher, academic institution, biotechnology company, contract research organization, analytical laboratory, or other entity engaged in legitimate in vitro biochemical research;
• All purchased materials will be used solely for in vitro laboratory research, analytical method development, identity verification, or laboratory evaluation;
• The buyer has all necessary regulatory authorizations, laboratory licenses, and institutional approvals required to purchase, possess, handle, and use the materials in their jurisdiction;
• The buyer will not use, resell, transfer, or otherwise distribute the materials to any person or entity for human or animal consumption, administration, or therapeutic use;
• The buyer understands the hazards associated with the materials and will handle them in accordance with applicable safety regulations, SDS documentation, and good laboratory practice;
• All information provided at the time of purchase, including contact details, institutional affiliation, and intended use, is accurate and complete.

These representations and warranties are material to ResearchPure's agreement to sell. Misrepresentation may result in order cancellation, account termination, and legal liability.

3. Prohibited Uses — No Resale for Human or Animal Use

The following uses are expressly prohibited and constitute a material breach of these Terms of Sale:

• Any human or animal consumption, administration, dosing, injection, or ingestion;
• Resale, transfer, or redistribution to any consumer, patient, or end-user for personal use;
• Compounding, formulating, or preparing products intended for human or animal use;
• Use in clinical, diagnostic, or therapeutic settings;
• Any use as a dietary supplement, nutraceutical, or consumer health product;
• Resale through any channel — including but not limited to online marketplaces, retail stores, social media, or direct consumer sales — for purposes other than in vitro research.

4. Human-Use Cancellation and Refund Clause

This clause applies regardless of whether the communication occurs before, during, or after order fulfillment. Buyers who have received product and subsequently communicate human-use intent will be required to return or destroy the materials and certify such return or destruction in writing.

5. Right to Cancel Non-Compliant Orders

ResearchPure reserves the right, in its sole and absolute discretion, to cancel any order and issue a full refund if:

• The buyer is unable to demonstrate qualified-buyer status upon request;
• The order quantity, shipping destination, or buyer profile appears inconsistent with legitimate in vitro research use;
• Any communication suggests human or animal use intent;
• The buyer has previously violated these Terms of Sale;
• Fulfilling the order would violate any applicable law or regulation;
• ResearchPure's payment processor, banking institution, or compliance program requires cancellation.

ResearchPure will provide written notice of order cancellation and issue any applicable refund within five (5) business days.

6. Pricing and Payment

All prices are listed in US Dollars (USD) and are subject to change without notice prior to order confirmation. Payment is due in full at the time of order. ResearchPure accepts major credit cards through its secure payment gateway. All payment information is encrypted and processed in accordance with PCI DSS standards. ResearchPure does not store full payment card numbers.

7. Order Confirmation and Acceptance

An order confirmation email does not constitute acceptance of an order. Orders are accepted only upon shipment. ResearchPure reserves the right to reject any order at any time prior to shipment for any reason.

8. Limitation of Liability

ResearchPure's materials are sold for in vitro research use only. ResearchPure makes no representations, warranties, or guarantees regarding the suitability of its products for any use other than in vitro laboratory research. TO THE MAXIMUM EXTENT PERMITTED BY LAW, RESEARCHPURE'S LIABILITY ARISING FROM ANY ORDER SHALL NOT EXCEED THE PURCHASE PRICE PAID FOR THE RELEVANT PRODUCT.

ResearchPure expressly disclaims all liability for any harm, injury, loss, or damage arising from the unauthorized, prohibited, or non-research use of its products.

9. Governing Law

These Terms of Sale are governed by the laws of [State], without regard to conflict of law principles. Any disputes shall be resolved in the courts of [State].
